1. Acceptance and authority

By accessing or using AIspect (the “Service”), you agree to these Terms. If you use the Service for an employer, practice, hospital, or other organisation, you represent that you are authorised to accept these Terms and use the Service on its behalf. If a separate written agreement or order form applies, that agreement controls to the extent of a conflict.

The Service is intended for authorised healthcare professionals, organisation administrators, and other approved workforce members. Do not use the Service if you lack the qualifications, permissions, or organisational approval required for your role.

2. The Service

AIspect helps users turn dictation into editable clinical reports, apply templates, extract text from selected reference documents, identify wording that may need review, copy or export report content, and collaborate with authorised users.

Features may change as we improve the Service. We may impose reasonable technical limits, perform maintenance, or suspend a feature when necessary for security, safety, law, or reliable operation.

3. Clinical responsibility and AI limitations

AIspect is a drafting and workflow aid. It does not practise medicine, interpret medical images, replace professional judgement, or make a report final. AI-generated or extracted content may be incomplete, inaccurate, misleading, or inconsistent with the dictation or source material.

An appropriately qualified clinician must review the original clinical inputs, resolve all warnings and uncertain wording, edit the report as needed, and verify every report before relying on, signing, sharing, or placing it in a patient record. You remain responsible for diagnoses, patient care, regulatory duties, and the accuracy and completeness of final reports.

The Service is not an emergency service. Do not use it to request urgent medical help, communicate a critical result, or replace the escalation procedures required by your organisation.

4. Accounts and organisation access

  • Provide accurate signup information and keep it current.
  • Keep passwords and devices secure, do not share account credentials, and promptly report suspected compromise.
  • Use only your own approved account and act only within your assigned role and permissions.
  • Organisation administrators are responsible for requesting, approving, reviewing, and removing workforce access as appropriate.
  • We may reject, suspend, or revoke access where an account is unauthorised, insecure, inactive, unlawful, or used in breach of these Terms.

5. Patient information and customer responsibilities

You and your organisation are responsible for determining whether the Service is appropriate for the intended workflow and for complying with healthcare, privacy, medical-record, professional, employment, and cross-border data requirements that apply to you.

  • Submit patient or other confidential information only when authorised and necessary for the reporting task.
  • Provide required patient notices or obtain permissions where applicable.
  • Use synthetic or properly de-identified information in development and test environments unless AIspect expressly approves otherwise in writing.
  • Maintain any authoritative patient record, backup, export, or retention process required by your organisation; do not treat AIspect as the sole system of record unless a written agreement expressly says so.
  • Configure and review access, sharing, devices, network security, and downstream systems under your organisation’s control.

6. Your content and permission to process it

As between you and AIspect, you or your organisation retain ownership of information and materials submitted to the Service (“Customer Content”). You grant AIspect and its providers a limited right to host, transmit, reproduce, format, analyse, and otherwise process Customer Content only to operate, secure, support, and improve the Service; comply with law; and perform any additional purpose agreed in writing.

You represent that you have the rights and authority needed to submit Customer Content and direct this processing. Our handling of personal information is further described in the Privacy Policy.

7. Sharing and collaboration

The Service permits users to connect and share reports or templates, including with approved users in another organisation. Review the recipient and content before sharing. A report recipient with edit rights may change the shared report and, where enabled, share it onward. Revoking access limits future access through the Service but cannot retrieve copies already exported, copied, or lawfully incorporated into another record.

You must not share content with anyone who is not authorised to receive it. Your organisation remains responsible for its users’ sharing decisions and any required patient consent, disclosure record, or inter-organisation agreement.

8. Acceptable use

You must not, and must not help anyone else to:

  • Use the Service unlawfully, outside your professional scope, or in a way that violates privacy, confidentiality, intellectual-property, or patient-safety obligations.
  • Access another person’s account or content without authorisation, bypass access controls, probe for vulnerabilities, or interfere with reliable operation.
  • Upload malware, harmful code, unlawful content, or material you do not have a right to process.
  • Misrepresent AI-assisted output as independently verified or use the Service to make an automated clinical decision without the required professional review.
  • Reverse engineer, scrape, resell, or make the Service available to third parties except as permitted by law or a written agreement.
  • Use Service output or access to build or train a competing model or service without our written permission.

9. Third-party services

The Service depends on third-party providers for transcription, AI processing, email delivery, hosting, database, and private object storage. Their availability and processing may affect the Service. AIspect sends selected inputs to those providers as described in the Privacy Policy.

Third-party products that you access separately, including clinical systems into which you paste or export a report, are governed by their own terms. AIspect is not responsible for those separately controlled products.

10. AIspect intellectual property and feedback

AIspect and its licensors own the Service, software, design, documentation, and related intellectual property, excluding Customer Content. Subject to these Terms and any applicable written agreement, AIspect grants approved users a limited, revocable, non-exclusive, non-transferable right to use the Service for their organisation’s internal clinical-reporting work.

If you provide feedback, you allow AIspect to use it without restriction or payment, but we will not identify you publicly as its source without permission.

11. Fees

The Service does not currently include self-service billing, automatic renewal, or payment-card processing. Any fees, usage allowances, taxes, renewal terms, or payment obligations must be stated in a separate order form or other written agreement accepted by the customer.

TODO (business policy): Before introducing paid self-service plans, approve and publish pricing, billing frequency, renewal, cancellation, refund, tax, and payment-processor terms.

12. Privacy, confidentiality, and security

The Privacy Policy explains how AIspect handles personal information. Each party must protect confidential information it receives and use it only for the Service or another agreed purpose. Additional healthcare privacy or security terms apply only if set out in a signed agreement.

No security measure is infallible. You must notify security@aispect.ai promptly of suspected unauthorised access or disclosure and cooperate with reasonable containment steps.

13. Disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available.” AIspect does not warrant that AI output will be accurate, complete, clinically appropriate, or error-free; that the Service will always be available; or that it will meet every regulatory, accreditation, or recordkeeping requirement applicable to a particular organisation.

Nothing in these Terms excludes a guarantee, warranty, condition, remedy, or liability that cannot lawfully be excluded. Where permitted, any implied guarantee is limited to resupplying the Service or paying the reasonable cost of resupply, at AIspect’s option.

14. Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, or consequential loss, or for lost profits, revenue, goodwill, or data, arising from the Service. These limitations do not apply where liability cannot lawfully be limited or to obligations expressly stated otherwise in a signed agreement.

TODO (business policy): Have counsel approve the liability cap, exclusions, any customer indemnity, and any exceptions required for confidentiality, privacy, security, intellectual-property, clinical harm, fraud, or wilful misconduct.

15. Suspension and termination

You may stop using the Service at any time. AIspect or an authorised administrator may suspend or terminate access for breach, security risk, legal requirement, loss of organisational authorisation, or discontinuation of the Service. Where reasonably practicable, we will provide notice and an opportunity to export appropriate content, subject to law, security, and the relevant organisation’s instructions.

Sections that by their nature should continue after termination—including ownership, confidentiality, disclaimers, liability, and dispute provisions—survive termination.

16. General terms

These Terms and any applicable signed agreement are the entire agreement about the Service. If a provision is unenforceable, it will be adjusted only as necessary and the rest will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; AIspect may assign them as part of a merger, reorganisation, financing, or sale of the relevant business.

We may update these Terms to reflect changes in the Service, law, or risk. We will update the date above and provide additional notice when required. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.

TODO (business policy): Insert the contracting entity’s full legal name and address, governing law, courts or dispute-resolution process, and formal notice method before publication.
